Supplemental Terms

These Supplemental Terms (“Supplemental Terms”) form part of and are incorporated into the Master Subscription Agreement or other written or electronic agreement between Precision Forward Ltd and the Customer that references these Supplemental Terms (the “Agreement”). Unless otherwise defined below, all capitalised terms have the meanings set forth in the Agreement.

1. Purpose

These Supplemental Terms describe additional or different terms applicable to specific Quadrant features, modules, or third-party integrations. If there is any conflict between these Supplemental Terms and the Agreement, these Supplemental Terms will control for the relevant feature or integration.


2. Supplemental Terms for Quadrant Agent Analytics

The following terms apply solely if the Customer subscribes to the “Agent Analytics” module within the Quadrant platform:

2.1 Web Log Data

The Quadrant Services may support integrations with content delivery networks and other third-party systems capable of providing web log data (collectively, “Logging Services”). By authorising or requesting an integration between a Logging Service and the Quadrant platform, Customer authorises Precision Forward Ltd to: (a) receive data regarding Customer’s web properties (including visitor and user activity) from such Logging Service (“Web Log Data”); and (b) exchange Customer Data with such Logging Service on Customer’s behalf.

Logging Services are deemed Third-Party Services and Web Log Data are deemed Customer Data under the Agreement. Precision Forward Ltd will not disclose Web Log Data to any third parties (other than its authorised subprocessors) without Customer’s prior written consent. Without limiting the foregoing, Customer grants Precision Forward Ltd a perpetual, irrevocable, royalty-free licence to use aggregated and anonymised Web Log Data to improve and develop Quadrant and related Precision Forward Ltd products and services. All such processing shall comply with the UK GDPR and the Data Processing Agreement (DPA).


3. Beta Services

3.1 Definition

From time to time, Precision Forward Ltd may make new or experimental features, tools, or functionality available to Customer for evaluation (“Beta Services”). Beta Services may be marked as “beta,” “early access,” “preview,” or similar.

3.2 Use and Limitations

Beta Services are provided solely for testing and evaluation purposes, without warranties of any kind and may be discontinued at any time. Precision Forward Ltd is not obliged to provide support or maintenance for Beta Services.

3.3 Feedback

Customer acknowledges that any feedback provided during a Beta Service trial may be freely used by Precision Forward Ltd to improve Quadrant or develop new products. Precision Forward Ltd shall have no obligation to incorporate such feedback or to provide any compensation for it.

4. Third-Party Services and Integrations

4.1 Overview

Quadrant may include integrations, connectors, or interfaces with third-party software, APIs, or AI platforms (“Third-Party Services”). These may include, but are not limited to, providers such as OpenAI, Anthropic, Google, Microsoft Azure AI, or Supabase.

4.2 Responsibility and Data Handling

Precision Forward Ltd does not control or assume responsibility for Third-Party Services. Customer’s use of such services is subject to those third parties’ own terms and policies, which Customer must review and accept independently. Precision Forward Ltd shall ensure that any transfer of Customer Data to such Third-Party Services is made securely and in accordance with the Data Processing Agreement (DPA).

4.3 No Warranty

Precision Forward Ltd makes no warranties or representations regarding the functionality, security, or reliability of any Third-Party Service and is not responsible for downtime, data loss, or service interruptions caused by third-party providers.


5. Usage Limits

Certain Quadrant features or modules may have defined usage limits (e.g., number of API calls, processing capacity, or monthly prompt credits). Precision Forward Ltd will clearly communicate these limits within the product interface, the Order Form, or related documentation. Customer may upgrade to higher usage tiers by mutual agreement and applicable fees.


6. Fair Usage Policy

To ensure equitable performance and prevent system abuse, Precision Forward Ltd applies a Fair Usage Policy across all Quadrant modules. If Customer’s usage exceeds typical operational thresholds or materially impacts system performance, Precision Forward Ltd may throttle usage, request an upgrade, or suspend access temporarily with prior notice.

7. Data Retention and Deletion

Unless otherwise specified in the Data Processing Agreement, Customer Data will be retained for the duration of the Agreement and deleted within 60 days following termination or expiration. Precision Forward Ltd may retain anonymised or aggregated data for analytics and service improvement purposes, provided such data cannot identify any individual.


8. Additional Terms for AI Features

8.1 Use of AI Models

Quadrant may provide features that utilise third-party AI models (e.g., from OpenAI, Anthropic, or Microsoft Azure AI). Customer’s use of such AI-enabled functionality is subject to these Supplemental Terms and the model provider’s acceptable use policy.

8.2 Customer Responsibility

Customer must not use AI-generated outputs for unlawful, discriminatory, or misleading purposes. Customer remains solely responsible for any decisions or actions taken based on AI-generated recommendations.

8.3 Transparency

Precision Forward Ltd does not use Customer Data for training or fine-tuning any publicly available AI models. AI processing is performed in secure UK/EU regions wherever possible.


9. Service-Specific Addenda

Precision Forward Ltd may from time to time publish additional service-specific terms for optional Quadrant modules (e.g., analytics, collaboration, or communications). Such addenda will be made available at: https://www.projectquadrant.com/legal/supplemental-terms. Each addendum will specify its effective date and will only apply to the relevant module or integration.

10. Modifications

Precision Forward Ltd may modify these Supplemental Terms as necessary to reflect changes in features, integrations, or applicable law. Any updates will be effective upon publication on the Quadrant website. Continued use of the affected feature after such modification constitutes acceptance of the updated terms.


11. Governing Law

These Supplemental Terms shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with them.
